Agreement to Terms

Welcome to Kwill. These Terms of Service ("Terms") govern your access to and use of the kwill.io platform, including our website, applications, and services (collectively, the "Service"). By accessing or using Kwill, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

"Kwill," "we," "our," and "us" refer to the company operating the kwill.io platform. "You" and "your" refer to you, the user of the Service.

Description of Service

Kwill is a content management platform that helps organizations manage their online presence. Our Service includes:

Account Registration

Creating an Account

To use Kwill, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

Account Requirements

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Organization Accounts

If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Acceptable Use

Your Responsibilities

When using Kwill, you agree to:

  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of others
  • Use the Service only for lawful purposes
  • Maintain the security of your account credentials

Prohibited Activities

You may not use Kwill to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights of others
  • Distribute malware, viruses, or harmful code
  • Send spam, unsolicited messages, or engage in phishing
  • Harass, abuse, or threaten others
  • Publish defamatory, obscene, or offensive content
  • Impersonate others or misrepresent your affiliation
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to our systems
  • Use automated tools to scrape or collect data without permission
  • Resell or redistribute the Service without authorization

Content Standards

Content you publish through Kwill must not:

  • Contain illegal material
  • Promote violence or discrimination
  • Include sexually explicit material involving minors
  • Violate the privacy rights of others
  • Contain deceptive or fraudulent information
  • Infringe copyrights, trademarks, or other intellectual property

We reserve the right to remove content that violates these standards and to suspend or terminate accounts that repeatedly violate our policies.

Third-Party Services

Social Media Integration

Kwill allows you to connect third-party social media accounts, including Facebook, Instagram, and Bluesky. When you connect these services:

  • Your Responsibility: You are responsible for complying with the terms of service of each connected platform.
  • Authorization: By connecting an account, you authorize Kwill to access and publish content to that account on your behalf.
  • Platform Policies: Content published through Kwill must comply with the policies of the destination platform. We are not responsible for actions taken by third-party platforms, including content removal or account suspension.
  • Disconnection: You may disconnect third-party accounts at any time through Kwill settings.

Facebook and Instagram Specific Terms

When using Kwill to publish to Facebook or Instagram:

  • You acknowledge that your use is subject to Facebook's Terms of Service and Instagram's Terms of Use
  • You grant Kwill permission to act on your behalf within the scope of permissions you authorize
  • You understand that Facebook/Meta may change their API or policies, which could affect functionality
  • You will not use the integration to violate Facebook's or Instagram's community guidelines

Payment Processing

Payments are processed through Stripe. Your use of payment features is subject to Stripe's terms of service. We do not store complete credit card information on our servers.

Intellectual Property

Your Content

You retain ownership of content you create and upload to Kwill. By using the Service, you grant us a limited license to:

  • Store and process your content to provide the Service
  • Display your content as directed by you (e.g., on your website, social media)
  • Create backups for data protection purposes

This license ends when you delete your content or close your account, except for content that has been shared publicly or with third parties.

Our Intellectual Property

Kwill and its original content, features, and functionality are owned by us and protected by intellectual property laws. You may not:

  • Copy, modify, or distribute our software without permission
  • Use our trademarks, logos, or branding without authorization
  • Reverse engineer or attempt to extract source code from our applications

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation.

Subscription and Payment

Subscription Plans

Kwill offers various subscription plans. Details about pricing, features, and billing cycles are available on our website and may change from time to time.

Billing

  • Subscriptions are billed in advance on a recurring basis
  • You authorize us to charge your payment method for subscription fees
  • Prices may change with notice; continued use constitutes acceptance

Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • We do not provide prorated refunds for partial billing periods

Free Trials

If we offer a free trial, you may be required to provide payment information. You will be charged at the end of the trial unless you cancel before the trial ends.

Your use of Kwill is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Service Availability

Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KWILL SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • DAMAGES ARISING FROM THIRD-PARTY ACTIONS OR CONTENT

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Kwill, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you publish through the Service

Termination

By You

You may terminate your account at any time by contacting us or using the account deletion feature in settings.

By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay fees when due
  • Create risk or legal exposure for us

We will provide notice of termination when reasonably possible, except in cases of severe violations.

Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • We may delete your account data according to our data retention policy
  • Provisions that by their nature should survive will remain in effect (e.g., limitation of liability, indemnification)

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@kwill.io to attempt to resolve the dispute informally. We will try to resolve disputes within 30 days.

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Delaware or another mutually agreed location.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive the right to participate in class actions or class-wide arbitration.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kwill regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.

Notices

We may send notices to you via email, through the Service, or by posting on our website. You may send notices to us at legal@kwill.io.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending an email to your registered address
  • Displaying a notice within the Service

Your continued use of Kwill after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
